In an era of uncertainty such as we find ourselves, nonprofits doing social justice work in and around vulnerable communities need to know what’s at risk for them. How will recent laws and executive orders aimed at reducing support to immigrant populations, vulnerable foreign populations, and political advocacy affect nonprofits today and how can nonprofit officers, boards, and executives continue to do the good work that they care about while staying safe in today’s legal landscape. Governance structures play a critical role in an organization’s ability to continue serving vulnerable populations, especially when it comes to the legal responsibilities of directors and officers. Understanding the roles, bylaws, and authority within a nonprofit organization is essential for ensuring accountability and compliance. This workshop will cover the fiduciary duties of directors and officers, focusing on the duty of loyalty and obedience, as well as the obligations and liabilities that come with these roles. We’ll discuss all of this in the context of how recent legal changes, like HR 9495 and new executive orders, could impact the future of social justice work in nonprofits and how governance structures can be used to continue the fight for justice.

About the Speakers
Jacob Ferrari
Jacob is inspired by nonprofit organizations, their impact, their leadership, and their passion. Jacob’s primary practice works with nonprofits at every growth stage which includes formation, application for tax exemption, board governance, and corporate exit plans. When not in the office, Jacob serves as a deacon at his church and spends time mentoring young men to better themselves both socially and spiritually.
Ana Hernández-Zamudio
Ana is a first-year associate at The Apex Law Group PLLC. She has a diverse legal background, having served as a Student Attorney for Seattle University’s Trademark Law Clinic, Washington Lawyers for the Arts, and the Florence Immigrant and Refugee Rights Project. Ana is a passionate advocate for justice and equity, with a deep commitment to serving underserved communities.
